Athletica WR API - Terms of Service

1. Agreement to Terms

By accessing or using the Athletica WR API (the “Service”), you (“Client,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service.

The Service is provided by Athletica Inc. and Andrea Zignoli (collectively, “Athletica,” “we,” “us,” or “our”).


2. Description of Service

The Athletica WR API provides proprietary Workout Reserve (WR) computational services for athletic training analysis. The Service includes three REST API endpoints that process training data and return WR metrics based on proprietary algorithms owned by Athletica Inc. and Andrea Zignoli.


3. Intellectual Property Rights

3.1 Athletica’s Ownership

All intellectual property rights in and to the Service, including but not limited to:

  • The WR algorithm and all computational methods
  • All API designs, code, and implementations
  • All documentation and specifications
  • All outputs, metrics, and computational results generated by the Service

are and shall remain the exclusive property of Athletica Inc. and Andrea Zignoli.

3.2 Client Data

Client retains all ownership rights to the input training data submitted to the Service (“Client Data”). By submitting Client Data to the Service, Client grants Athletica a limited, non-exclusive license to process Client Data solely for the purpose of providing the Service.

3.3 Aggregated Data

Athletica may collect, use, and analyze aggregated and anonymized data derived from the Service for research, development, and improvement purposes. Such aggregated data will not identify Client or Client’s end users.


4. License Grant and Restrictions

4.1 Limited License

Subject to these Terms and payment of applicable fees, Athletica grants Client a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for Client’s internal business purposes.

4.2 Permitted Use

Client may:

  • Integrate the Service into Client’s products or platforms
  • Use WR metrics generated by the Service in Client’s commercial offerings
  • Set Client’s own pricing for products that incorporate the Service
  • Resell or distribute products that use the Service, provided Client complies with Section 4.3

4.3 Attribution Requirement

If Client incorporates the Service or WR metrics into any product or platform, Client must:

  • Include attribution to “Athletica WR” in Client’s product documentation, Terms of Service, or About page
  • Include the statement: “Workout Reserve metrics provided by Athletica Inc. and Andrea Zignoli”
  • Attribution must be visible to end users in product documentation but need not be displayed in the primary user interface

4.4 Prohibited Uses

Client shall NOT:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or algorithms of the Service
  • Copy, modify, or create derivative works of the Service
  • Resell, redistribute, sublicense, or provide direct access to the Service API itself
  • Remove, obscure, or alter any proprietary notices or attribution requirements
  • Use the Service to develop competing products or services
  • Attempt to circumvent usage limits, rate limits, or security measures
  • Use the Service for any illegal, harmful, or fraudulent purposes
  • Share, transfer, or disclose API keys to third parties

5. Account and API Keys

5.1 Account Security

Client is responsible for:

  • Maintaining the confidentiality of API keys and credentials
  • All activity occurring under Client’s account
  • Immediately notifying Athletica of any unauthorized use

5.2 API Key Usage

API keys are:

  • Non-transferable and specific to Client’s account
  • Subject to usage limits as defined in Client’s subscription plan
  • Revocable by Athletica at any time for violations of these Terms

6. Fees and Payment

6.1 Subscription Fees

Client agrees to pay all fees associated with Client’s selected subscription plan. Fees are based on API usage as measured by request volume and are billed monthly in advance.

6.2 Usage Limits

Each subscription plan includes:

  • Rate limits (requests per second)
  • Burst capacity limits
  • Daily or monthly request quotas

Exceeding usage limits may result in:

  • Request throttling or rejection
  • Additional charges as specified in Client’s plan
  • Account suspension for repeated violations

6.3 Payment Terms

  • Fees are due monthly in advance
  • Payment must be made via invoice or agreed payment method
  • Late payments are subject to termination as described in Section 9.3
  • All fees are non-refundable except as required by law

6.4 Fee Changes

Athletica reserves the right to modify fees with 30 days’ advance notice to Client.


7. Service Level and Support

7.1 Uptime Commitment

Athletica will use commercially reasonable efforts to maintain Service availability of 99% uptime, calculated monthly (“Uptime Target”). This is a best-effort commitment and not a guarantee.

7.2 Scheduled Maintenance

Uptime Target excludes:

  • Scheduled maintenance (with advance notice when possible)
  • Force majeure events
  • Issues caused by Client’s infrastructure or usage
  • Third-party service failures (AWS infrastructure)

7.3 Support

Athletica will provide email support at andrea@athletica.ai with:

  • Target response time: Within 72 hours for non-critical issues
  • Best effort support for critical production issues
  • No guaranteed response time for requests outside business hours

7.4 No Service Level Credits

Athletica does not provide service credits, refunds, or compensation for downtime or service interruptions.


8. Warranties and Disclaimers

8.1 AS-IS Service

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY OF RESULTS
  • UNINTERRUPTED OR ERROR-FREE OPERATION

8.2 No Medical Advice

The Service provides computational metrics for informational purposes only and does not constitute medical, health, or fitness advice. Client is solely responsible for how WR metrics are interpreted and applied.

8.3 Algorithm Changes

Athletica reserves the right to modify, update, or improve algorithms at any time. Such changes may affect computational results. Athletica will provide version information in API responses but does not guarantee backward compatibility.


9. Limitation of Liability

9.1 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATHLETICA’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY CLIENT IN THE THIRTY (30) DAYS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.

9.2 Excluded Damages

IN NO EVENT SHALL ATHLETICA BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
  • COST OF SUBSTITUTE SERVICES
  • DAMAGES ARISING FROM CLIENT’S USE OR INABILITY TO USE THE SERVICE

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if Athletica has been advised of the possibility of such damages.

9.3 Exceptions

Nothing in these Terms excludes or limits liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded under applicable law

10. Indemnification

Client agrees to indemnify, defend, and hold harmless Athletica Inc., Andrea Zignoli, and their affiliates, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from:

  • Client’s use or misuse of the Service
  • Client’s violation of these Terms
  • Client’s violation of any third-party rights
  • Client Data or Client’s products/services that incorporate the Service
  • Client’s failure to comply with applicable laws or regulations

11. Termination

11.1 Termination by Client

Client may terminate these Terms at any time by:

  • Providing written notice to Athletica
  • Ceasing all use of the Service
  • Destroying all API keys and credentials

Termination by Client does not entitle Client to any refund of prepaid fees.

11.2 Termination by Athletica for Non-Payment

If Client fails to pay fees when due:

  • Athletica will provide written notice of non-payment
  • Client has seven (7) calendar days to cure the non-payment
  • If payment is not received within 7 days, Athletica may immediately suspend or terminate the Service
  • Client remains liable for all unpaid fees plus reasonable collection costs

11.3 Termination by Athletica for Cause

Athletica may immediately terminate or suspend the Service without notice if Client:

  • Violates Section 4.4 (Prohibited Uses), including:
    • Reverse engineering or attempting to derive algorithms
    • Reselling or redistributing the Service API itself
    • Removing attribution requirements
  • Engages in fraudulent, illegal, or harmful activity
  • Poses a security or legal risk to Athletica or other users
  • Repeatedly violates usage limits or rate limits

11.4 Effect of Termination

Upon termination:

  • Client’s access to the Service is immediately revoked
  • All API keys are deactivated
  • Client must cease using all WR metrics and outputs
  • Client must remove all integrations with the Service
  • Client remains liable for all fees accrued prior to termination
  • Sections 3 (Intellectual Property), 8 (Warranties), 9 (Limitation of Liability), 10 (Indemnification), and 12 (General Provisions) survive termination

11.5 No Refunds

Termination for any reason does not entitle Client to refunds of prepaid fees. If Client has paid fees in advance and Athletica terminates for cause under Section 11.3, Client forfeits all prepaid amounts.


12. Data Privacy

12.1 Data Processing

Athletica processes Client Data solely to provide the Service. Athletica will:

  • Use Client Data only as necessary to deliver the Service
  • Not sell or share Client Data with third parties
  • Implement reasonable security measures to protect Client Data
  • Retain Client Data only as long as necessary to provide the Service

12.2 Data Security

While Athletica implements industry-standard security practices, Client acknowledges that:

  • No data transmission over the internet is completely secure
  • Athletica cannot guarantee absolute security of Client Data
  • Client is responsible for securing API keys and credentials

12.3 Data Deletion

Upon termination, Athletica will delete Client Data within 30 days unless:

  • Retention is required by law
  • Client Data has been aggregated and anonymized for research purposes

12.4 GDPR and Privacy Compliance

If Client processes personal data of EU residents, Client is responsible for compliance with GDPR and other privacy laws. Client represents that it has obtained all necessary consents and authorizations to submit Client Data to the Service.


13. General Provisions

13.1 Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and both parties consent to personal jurisdiction in such courts.

13.2 Entire Agreement

These Terms constitute the entire agreement between Client and Athletica regarding the Service and supersede all prior agreements, understandings, and communications.

13.3 Amendments

Athletica may modify these Terms at any time by:

  • Posting updated Terms with a new “Last Updated” date
  • Providing notice to Client via email or Service dashboard
  • Changes take effect 30 days after notice unless Client terminates the Service

Continued use of the Service after changes take effect constitutes acceptance of modified Terms.

13.4 Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable.

13.5 Waiver

Failure by Athletica to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

13.6 Assignment

Client may not assign or transfer these Terms or any rights hereunder without Athletica’s prior written consent. Athletica may assign these Terms without restriction. Any attempted assignment in violation of this section is void.

13.7 Force Majeure

Athletica is not liable for failure to perform obligations due to causes beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, internet disruptions, or third-party service failures.

13.8 Independent Contractors

The parties are independent contractors. These Terms do not create a partnership, franchise, joint venture, agency, or employment relationship.

13.9 Notices

All notices must be in writing and sent to:

  • Athletica: andrea@athletica.ai
  • Client: Email address associated with Client’s account

Notices are deemed delivered when sent via email or 3 business days after mailing.

15. Definitions

  • “Client Data”: Training data and inputs submitted by Client to the Service
  • “Service”: The Athletica WR API and all related services
  • “WR”: Workout Reserve, a proprietary metric computed by the Service
  • “Athletica WR”: The branded name for Workout Reserve metrics provided by the Service
  • “API Key”: Authentication credential provided to Client for accessing the Service

BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE.
